Terms of Service

1. Acceptance of Terms
By accessing our website, engaging our services, or signing a service agreement with BuildNet ("Company", "we", "us"), you ("Client", "you") agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services. These Terms apply to all services provided by BuildNet, including but not limited to mobile app development, website development, IT support, IT consultancy, UI/UX design, graphics design, deployment services, training and tutoring, and DUNS/Dun & Bradstreet services.
2. Services Provided
BuildNet provides technology services including: • Mobile application development (Android, iOS, Windows) • Website and web application development • UI/UX design and prototyping (Figma) • Graphics design and branding • IT support (on-premises and remote) • IT consultancy (security, cloud, automation) • Application and web deployment • DUNS registration and Dun & Bradstreet profile management • IT training and tutoring The specific scope of services for each engagement is defined in a separate Statement of Work (SOW) or project agreement signed by both parties.
3. Client Responsibilities
As a client, you agree to: • Provide accurate, complete, and timely information required for the project • Designate a primary point of contact with decision-making authority • Provide timely feedback and approvals within agreed timeframes (typically 3–5 business days) • Ensure you have rights to any content, images, or materials you provide to BuildNet • Pay invoices according to the agreed payment schedule • Not use our services for any unlawful, harmful, or deceptive purpose Delays caused by the client's failure to provide information or approvals in a timely manner may result in timeline adjustments and additional fees.
4. Payment Terms
Payment terms for BuildNet services: • Project Work: A non-refundable 50% deposit is required before work begins. The remaining 50% is due upon project completion and before final file delivery. • Ongoing/Retainer Services: Invoiced monthly in advance. Payment is due within 14 days of invoice date. • Overdue Payments: Invoices unpaid after 30 days are subject to a 1.5% monthly late fee. BuildNet reserves the right to suspend services for overdue accounts. • Currency: All prices are quoted in USD unless otherwise stated. • Taxes: Clients are responsible for any applicable taxes, duties, or levies in their jurisdiction. All payments are processed via bank transfer, PayPal, or other agreed methods as specified in your invoice.
5. Project Timeline & Delivery
BuildNet will provide estimated project timelines at the start of each engagement. Timelines are estimates and may be affected by: • Delays in client feedback or approvals • Scope changes requested by the client • Unforeseen technical complexity • Force majeure events BuildNet will communicate timeline changes as soon as they are identified. Significant scope additions will be handled through a change order process with revised timelines and pricing agreed in writing before additional work commences.
6. Intellectual Property
Upon receipt of full payment: • The client owns all final deliverables — source code, design files, content, and other work product created specifically for the client. • BuildNet retains ownership of all pre-existing intellectual property, proprietary tools, frameworks, and methodologies used in the creation of deliverables. • BuildNet reserves the right to display completed projects in its portfolio and marketing materials unless the client requests otherwise in writing. • Any third-party components (open-source libraries, stock images, fonts) remain subject to their respective licenses. Work product is not transferred until full payment is received.
7. Confidentiality
Both parties agree to treat as confidential any proprietary business information, technical details, pricing, and client data shared during the engagement. BuildNet will not disclose client confidential information to third parties without written consent, except as required by law. Upon request, BuildNet will sign a mutual Non-Disclosure Agreement (NDA) prior to sharing sensitive project details.
8. Warranties & Disclaimers
BuildNet warrants that: • Services will be performed in a professional and workmanlike manner • Delivered software will function as described in the agreed specifications at the time of delivery • A 30-day bug fix warranty applies to all delivered software — defects in the agreed specifications will be repaired at no additional charge BuildNet does not warrant that: • Services will be uninterrupted or error-free at all times • Third-party services, APIs, or platforms used in your product will remain available or unchanged • Results from IT consultancy or marketing advice will meet specific business outcomes EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
9. Limitation of Liability
To the maximum extent permitted by applicable law: • BuildNet's total liability for any claim arising from these Terms or our services shall not exceed the total amount paid by the client in the 3 months preceding the claim. • BuildNet shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities. • BuildNet is not liable for damages arising from the client's misuse of deliverables, changes made by the client post-delivery, or third-party service failures.
10. Termination
Either party may terminate the engagement with 14 days' written notice. Upon termination: • The client will pay for all work completed up to the termination date at the agreed rate or a prorated basis • BuildNet will deliver all completed work product upon receipt of payment for work performed • Deposits are non-refundable upon termination unless BuildNet has materially breached this agreement BuildNet may terminate immediately if the client fails to make payment, engages in unlawful conduct, or materially breaches these Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to conflict of law provisions. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding mediation before any litigation commences. The prevailing party in any legal action shall be entitled to recover reasonable legal fees.
12. Changes to These Terms
BuildNet reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised "Last Updated" date. Continued use of our services after any changes constitutes acceptance of the new Terms.
